Terms of Service
Effective date: March 15, 2026
These Terms of Service ("Terms") govern your access to and use of Fancy Waitlist, a waitlist-as-a-service platform operated by Korroni LLC ("Company," "we," "us," or "our"), located at fancywaitlist.korroni.com (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Definitions
- "Customer" means the individual or entity that creates an account to configure and operate one or more waitlists through the Service.
- "End User" means any person who joins, interacts with, or is managed by a waitlist created by a Customer.
- "Waitlist" means a queue or list configured by a Customer using the Service, including all associated referral tracking, position data, email triggers, and YAML configuration.
- "API" means the programmatic interfaces provided by the Service, including the MCP server, CLI tool, and Python client library.
- "BYOSMTP" means Bring Your Own SMTP, the feature allowing Customers to connect their own email delivery infrastructure.
- "Customer Data" means all data, content, and configuration that a Customer or their End Users submit to the Service.
2. Eligibility
You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.
3. Accounts
3.1 Registration
To use most features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Security
You are responsible for maintaining the confidentiality of your account credentials, including any API keys, tokens, or SMTP credentials you configure. You are responsible for all activity that occurs under your account.
3.3 Multiple Waitlists
A single account may operate multiple waitlists. Each waitlist is subject to these Terms and any applicable usage limits associated with your plan.
4. Use of the Service
4.1 Permitted Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and any applicable plan limitations.
4.2 Acceptable Use
You agree not to:
- Use the Service to send unsolicited messages, spam, or phishing communications, whether through BYOSMTP or any other email delivery method;
- Fabricate or artificially inflate waitlist positions, referral counts, or other metrics;
- Circumvent or attempt to circumvent the Service's referral fraud prevention mechanisms;
- Use automated means (bots, scrapers, or scripts) to create fake End User entries or manipulate waitlist data, except through the official API;
- Reverse engineer, decompile, or disassemble any part of the Service;
- Use the Service to collect, store, or process data in violation of applicable privacy laws;
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure;
- Use the Service for any illegal purpose or in violation of any applicable law or regulation;
- Sublicense, resell, or redistribute the Service or API access to third parties without our prior written consent.
4.3 API and AI-Native Access
The Service provides API access through multiple interfaces, including an MCP server, CLI tool, and Python client. All API usage is subject to rate limits and usage quotas associated with your plan. You are responsible for all actions taken through the API using your credentials, including actions initiated by AI agents or automated systems configured by you.
4.4 BYOSMTP
If you use the BYOSMTP feature to connect your own email infrastructure, you are solely responsible for ensuring that all emails sent through your SMTP server comply with applicable laws, including CAN-SPAM, GDPR, and any other relevant anti-spam or privacy legislation. We are not responsible for email deliverability, reputation, or compliance issues arising from your SMTP configuration.
4.5 YAML Configuration
Waitlist behavior is defined through declarative YAML configuration. You are responsible for the accuracy and validity of your configuration files. Misconfiguration that results in unintended behavior (e.g., incorrect email triggers, improper referral rules) is your responsibility.
5. Customer Data
5.1 Ownership
You retain all rights, title, and interest in your Customer Data. We do not claim ownership of any data you or your End Users submit to the Service.
5.2 License to Us
You grant us a limited, worldwide, royalty-free license to use, process, store, and transmit Customer Data solely to the extent necessary to provide, maintain, and improve the Service.
5.3 End User Data
As a Customer, you are the data controller for End User data collected through your waitlists. You are responsible for providing appropriate privacy notices to your End Users and for ensuring that your collection and use of End User data complies with applicable privacy laws. Our processing of End User data on your behalf is governed by our Privacy Policy.
5.4 Data Portability
You may export your Customer Data at any time through the API or other export features provided by the Service. Upon termination of your account, we will make your data available for export for a period of 30 days, after which we may delete it.
6. Referral System and Fraud Prevention
The Service includes referral tracking and fraud prevention features. While we take reasonable measures to detect and prevent fraudulent referral activity, we do not guarantee that all fraud will be detected or prevented. You acknowledge that:
- Referral counts, positions, and rewards are subject to adjustment if fraudulent activity is detected;
- We may suspend or terminate accounts engaged in referral manipulation;
- Automated fraud detection may occasionally flag legitimate activity, and we will work with you to resolve disputes in good faith.
7. Fees and Payment
7.1 Pricing
Certain features of the Service may require a paid subscription. Pricing is published on our website and may change with 30 days' prior notice.
7.2 Billing
Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). You authorize us to charge your payment method on file for all applicable fees.
7.3 Refunds
Fees are non-refundable except as required by law or as otherwise stated in a specific promotional offer.
7.4 Free Tier
We may offer a free tier with limited functionality. We reserve the right to modify or discontinue the free tier at any time with reasonable notice.
8. Intellectual Property
8.1 Our IP
The Service, including its software, API, documentation, design, and all related intellectual property, is and remains the exclusive property of Korroni LLC. These Terms do not grant you any rights to our trademarks, logos, or brand features.
8.2 Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use and incorporate such feedback without obligation to you.
9. Third-Party Services
The Service may integrate with or allow connections to third-party services (e.g., your SMTP provider, analytics tools, AI agent platforms). We are not responsible for the availability, accuracy, security, or practices of any third-party services. Your use of third-party services is governed by their respective terms and policies.
10. Service Availability and Support
10.1 Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice when possible.
10.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes that negatively affect your use of the Service.
11. Termination
11.1 By You
You may terminate your account at any time by contacting us or using the account deletion feature in the Service. Termination does not entitle you to a refund of any prepaid fees.
11.2 By Us
We may suspend or terminate your account if you violate these Terms, if your use poses a security risk to the Service or other users, or if required by law. Where practicable, we will provide notice and an opportunity to cure before termination.
11.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your Customer Data for 30 days following termination to allow for export, after which it may be permanently deleted. Sections 5.1, 8, 12, 13, 14, and 16 survive termination.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE OR COMPLETE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KORRONI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
14. Indemnification
You agree to indemnify, defend, and hold harmless Korroni LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any content or data you submit to the Service; or (e) your use of the BYOSMTP feature, including any emails sent through your connected infrastructure.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles.
15.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in New York, New York. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
15.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, the entirety of this arbitration provision shall be null and void.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Korroni LLC regarding the Service.
16.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
16.5 Notices
We may provide notices to you via email, through the Service, or by posting on our website. Notices to us should be sent to [email protected].
16.6 Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by posting the updated Terms on our website and, where feasible, by email. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
